1. Who we are and what you accept by using Itzli
Itzli is a software service operated by [MISSING: legal name] , with registered address at [MISSING: registered address] . By subscribing to the service or creating an account, you accept these terms. If you disagree with any of them, do not use the service.
2. What Itzli is and what it is not
Itzli is a laboratory information system: software a clinical laboratory uses to record orders, enter and review results, release reports, take payment and run its operation. It also includes a space where patients can get quotes for tests and keep their result history.
To avoid the kind of misunderstanding that later turns into a problem, it is worth being explicit:
- Itzli does not perform clinical testing and does not interpret results. The one who processes the sample, reviews the result and answers for it is the laboratory.
- Itzli does not issue diagnoses and is not a substitute for seeing a doctor.
- Itzli does not certify any laboratory and does not bring it into compliance with NOM-007-SSA3-2011 (the Mexican standard for clinical laboratories), NOM-024 (the Mexican standard for electronic health information systems) or any other regulation. The system records facts those standards require you to be able to demonstrate; compliance remains the responsibility of the laboratory and of its sanitary officer of record.
- Itzli does not produce an advanced electronic signature. It records the credential of whoever signs and stamps their name and professional license number on the report, which is not the same as an advanced cryptographic signature over the file.
- Itzli is not an electronic medical record (EMR): it does not hold clinical notes, diagnoses or progress records.
- Itzli does not operate home sample collection. It has no collection staff and no logistics of its own: the laboratory runs its route, its people and its sanitary responsibility, and uses Itzli to coordinate and document it.
3. The laboratory’s obligations
Whoever subscribes to Itzli to run their laboratory undertakes to:
- Hold the health authorizations its activity requires, and have a sanitary officer of record with a professional license number in force.
- Obtain consent from its patients and publish its own privacy notice. In respect of its patients’ data, the laboratory is the data controller (responsable) and Itzli is only the data processor (encargado).
- Keep the details of its catalog, its prices and its turnaround times accurate, especially the ones it chooses to publish.
- Look after its staff’s credentials and deactivate anyone who stops working there.
- Verify results before releasing them. A result arriving automatically from an analyzer is not a substitute for professional review.
4. Patient accounts
Using Itzli is free for the patient. You must give true information, look after your password and tell us if you suspect unauthorized access. Your results are released by the laboratory that served you; any question about what they say is settled with that laboratory.
5. Connected analyzers
Itzli can read certain analyzer models and deposit their results in the corresponding order. As of today the supported models are Mindray BC-20s, Mindray BS-240 and Spinreact U120s. Any other instrument is not supported, and no promise is made that it will be.
The connection requires a Windows PC in the laboratory. The laboratory is responsible for the operation, calibration and quality control of its instruments; Itzli only carries and records the result the instrument hands over.
6. Plans, prices and charges
- The service is taken out as a monthly subscription, according to the plan chosen and its allowances of branches, users and tests per month.
- The Founding Lab price is a discount off the list price, held for as long as the subscription stays active and up to date. If it is canceled and taken out again later, the price in force at that time applies.
- Going over the included volume generates an excess charge, with prior notice. The service is not suspended for exceeding the volume.
- Billed separately: additional branches and users, messaging packages, tax stamps and extra storage.
- Prices are in Mexican pesos and do not include tax, unless stated otherwise.
7. Trial and guarantee
The service comes with a 30-day trial on the laboratory’s real operation and a 60-day guarantee: if within that period the laboratory’s cash-drawer close does not balance for reasons attributable to the system, what was paid in that period is refunded. The guarantee covers the amount of the subscription; it does not cover business losses or indirect damages.
8. Availability and interruptions
We work to keep the service continuously available, but no guaranteed uptime percentage is offered unless it is agreed in writing in a bespoke plan. There may be interruptions for maintenance, for third-party failures or for causes outside our control. Scheduled maintenance windows are announced in advance whenever possible.
9. Your data stays yours
The information a laboratory enters into Itzli belongs to that laboratory. It can export its catalog and its data at any time, and when the relationship ends it can request a full export. Itzli does not use one laboratory’s information to benefit another, and does not sell or otherwise commercialise it.
10. Intellectual property
The Itzli software, brand and materials are the property of their owner. The subscription grants a non-exclusive, non-transferable right of use while it is in force; ownership is not transferred, and copying, decompiling or reselling the system is not permitted.
11. Misuse
We may suspend an account that tries to breach the security of the system, access another laboratory’s data, publish false information in the comparison tool, or use the service for unlawful purposes. Where the severity allows it, notice will be given first.
12. Limit of liability
Itzli answers for the software working correctly as described here. It does not answer for clinical decisions, for errors in collecting or processing the sample, for the calibration of the instruments, or for what the results say: that belongs to the laboratory and its professional staff. Save for wilful misconduct or gross negligence, total liability is limited to the amount paid for the service in the 12 months before the event giving rise to it.
13. Termination
The subscription can be canceled at any time, taking effect at the end of the period already paid for; there is no penalty for leaving. Before cancelling it is worth exporting your information. Data is kept for a reasonable period to allow that export and is deleted afterwards, except for whatever must be retained by legal obligation.
14. Changes to these terms
These terms may be updated. Substantial changes will be announced at least 30 days in advance, by email to active accounts. Continuing to use the service after they take effect means accepting them.
15. Governing law
These terms are governed by the laws of the United Mexican States. For any dispute, the parties submit to the competent courts of [MISSING: city of jurisdiction], waiving any other venue that may apply to them.
